MINUTES OF THE BOARD OF TRUSTEES SPECIAL MEETING held October 15, 2009, at the QFC Meeting Room, Belfair. The meeting was opened at 5 PM by President Gary Longmire and attended by Mike Croke, Linda Pryor, Daryl Axelson, Roger Hansen, and Dan Poole (Rocky Brown absent) and guest members Deborah Axelson, Jan Croke, Morina Dustan, and Jackie Longmire.
INITIATIVE TO AMEND BYLAWS
President Longmire reported correspondence had been received from Deborah Axelson questioning the decision made by the Board at the October 11th Special Meeting to postpone a vote on the member initiative until the next Annual Member Meeting as opposed to the next Special Member Meeting.
Written correspondence has been requested from the Club’s attorney, Robert Houle, to ascertain that all Articles of the Club’s bylaws were considered when he advised that the petition could be postponed until the next Annual Meeting; and to specifically address the conflicts in the bylaw amendment proposed by the petition.
President Longmire opened discussion on the issue. Deborah Axelson noted this is the first petition to come before the Board of Trustees and stressed the importance of honoring the intent of the initiative process as a precedent setting action. The Trustees agreed, however there was still concern regarding the limited amount of time available before the scheduled Special Member Meeting to prepare an alternative proposal to include on the ballot with the petitioned amendment (as advised by the attorney).
Deborah agreed to work with the Board to prepare an alternative proposal to submit to the attorney for review. The review and correspondence previously requested from the attorney should be available before the Special Board Meeting scheduled for October 24th. MOTION to reconsider the decision regarding postponement of the petition to amend the bylaws at the Special Board Meeting scheduled for October 24th, was made by Roger Hansen, seconded by Mike Croke and carried.
MOTION to adjourn the meeting at 5:45 PM was made by Mike Croke, seconded by Dan Poole and carried.
