NOTICE OF SPECIAL MEMBERSHIP MEETING

 A Special Meeting of the Members of Treasure Island Country Club will be held at 10:00 AM on Saturday, November 14, 2009, at the Grapeview Fire Hall.

Discussion and business to be conducted at this Special Meeting will be limited to the following agenda items:

·       Vote for $245.00 annual Dues increase for deposit to the Asset Replacement Fund.

·       Vote to authorize the Board of Trustees to utilize up to $225,000.00 from the Asset Replacement Fund for Phase I front-end expenses for a new bridge.

·       Vote on member petition or the Board’s alternative proposal for amendments to TICC Bylaws that would permit members to vote by absentee ballot.

To hold a legal meeting, it is necessary to have a quorum of 25% of the members represented, either in person or by proxy.  You may name any TICC member as your proxy to cast your vote(s).  If you attend in person, your proxy will be void and will not be used.  Your proxy is included below.  Please complete the form, detach, sign and return the proxy prior to the November 14th meeting date.

The following information is provided to clarify how your proxy will be used. 

  • A quorum (25% of membership) is necessary to hold a meeting of the members.  In most cases a quorum is not present at the meeting and proxies are used to establish the quorum.  If a quorum is not established, those present must reconvene the meeting to a later date.
  • If a lot is owned by joint owners, only one signature is required on the proxy.
  • Your proxy is valid for this meeting and any reconvened meeting.
  • Your proxy holder receives your ballot at the meeting and casts your ballot(s) for you.
  • If you submit a proxy and then attend the meeting, your proxy will not be valid and you will receive your ballot(s).
  • Proxies can ONLY be given to TICC members - those persons who own property on the island as recorded on the Deed on file with the Mason County Assessor.  If the name on the proxy is not that of a Club member as verified by County records, the proxy will not be valid and no vote can be cast.
  • If you give your proxy to a member of the TICC Board, you are giving it to the individual person named.  You are not giving your proxy to the Board and the Board can not dictate or influence how that Board member will vote.
  • You can give your proxy holder voting instructions, either verbally or in writing.   If you do not provide specific instructions, you give your proxy holder the right to vote however they see fit.
